出口贸易合同
甲方（卖方）：

双方同意按下列条款由甲方出售，乙方购进货物：

第九条付款条件：乙方应通过买卖双方同意的银行，开立以甲方为受益的人，不可撤销的、可转让和可分割的、允许分批装运和转船的信用证。该信用证凭装运单据在中国的中国银行见单即付。
该信用证必须在前开出。
信用证有效期为装船后天在中国到期。
第十条单据：甲方应向议付银行提供已装船清洁提单、fa票，装箱单/重量单。第十一条装运条件：
①载运船只由甲方安排，允许分批装运并允许转船，
②甲方于货物装船后，应将合同号码、品名、数量、船名、装船日期以电报通知乙方。第十二条品质和数量/重量的异议与索赔：货到目的口岸后，乙方如发现货物品质及/或数量/重量与合同规定不符，附属于保险公司及/或船公司的责任外，乙方可以凭双方同意的检验机构出具的检验证明向甲方提出异议。品质异议须于货到目的口岸之日起30天内提出，数量/重量异议须于货到目的口岸之日起15天内提出。甲方应于收到异议后30天内答复乙方。
第十三条人力不可抗拒因素：由于人力不可抗拒事故，是甲方不能在本合同规定期限内交货或者不能交货的，甲方不负责任。但甲方必须立即以电报通知乙方。如乙方提出要求，甲方应以挂号函向乙方提供由中国国际贸易委员会或有关机构出具的事故证明文件。第十四条仲裁：凡因执行本合同或与本合同有关事项所发生的一切争执，应由双方通过友好方式协商解决。如果不能取得协议时，则在被告国家根据被告国家仲裁机构的仲裁程序规则进行仲裁。仲裁决定是终局的，对双方具有同等的约束力，仲裁费用除非仲裁机构另有约定外，均由败诉一方负担。

１１．装运通知：一俟装运完毕，卖方应即电告买方合同号、品名，已装载数量、发票总金额，毛重，运输工具名称及启运日期等

of the loading of the goods, advise the buyers of the contrant no, name
s of commodity, loaded quantity, invoice values, gross weight, names of
vessel and chipment date by tlx/fax.
１２．检验与索赔
inspection and claims:
①卖方在发货前由＿＿＿＿＿＿＿检验机构对货物的品质、规格和数量进行检验，并出具检验证明书。
the buyers shall bave the qulities, specifications, quatities of ths goods carefully inspected by the ＿＿＿＿＿＿ inspection authority, which shall issue inspection certificate before shipment.
②货物到达目的口岸后，买方可委托当地的商品检验机构对货物进行复检。如果发现货物有损坏、残缺或规格、数量与合同规定不符，买方须于货到目的口岸的＿＿＿＿＿＿天内凭＿＿＿＿＿＿检验机构出具的检验证明书向卖方索赔。
the buyers have right to have the goods inspected by the local commodity inspection authority after the arrival of the goods at the port of
destination. if the goods are found damaged/short/their specifications and quantities not in compliance with that specified in the contract, thebuyers shall lodge claims against the sellers based on the inspection certificate issued by the commodity inspection authority within ＿＿＿ days after the goods arrivalat the destination.
③如买方提出索赔，凡属品质异议须于货到目的口岸之日起＿＿＿＿＿天内提出；凡属数量异议须于货到目的口岸之日起＿＿＿＿＿＿天内提出。对所装货物所提任何异议应由保险公司、运输公司或邮递机构负责的，卖方不负任何责任。

１３．人力不可抗拒：如果人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及时通知买方。
force majeure: the sellers shall not hold any responsibility for partial or total non-performance of this contractdue to force majeure. but
the sellers shall advise the buyers on time of such occurrence.
１４．争议之解决方式：
disputes settlement:
任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在中国。仲裁裁决是终局的，对双方均有约束力。

１５．法律适用：
law application:
本合同之签订地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，适用中华人民共和国法律，除此规定外，适用《联合国国际货物销售合同公约》。
it will be governed by the law of the peoples republic of china under the circumstances that the contract is signed or the goods while the disputes arising are in the peoples republic of china or the deffendant is chinese legal person, otherwise it is governed by united nations convention on contract for the international sale of goods.
本合同使用的ｆｏｂ、ｃｆｒ、ｃｉｆ、ｄｄｕ术语系根据国际商会《incoterms 1990》。
the terms in the contract are basedon incoterms 1990 of the international chamber of commerce.
１６．文字：本合同中、英两种文字具有同等法律效力，在文字解释上，若有异议，以中文解释为准。
